1. Agreement to Terms

By engaging with GrowthCo's CRM revival services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

GrowthCo provides AI-powered CRM revival services including:

  • Dormant contact identification and segmentation
  • AI-written email campaign creation and execution
  • CRM integration and automated result tracking
  • GDPR/PECR compliance management
  • Performance reporting and optimization

3. Service Levels and Expectations

Our Commitments:

  • Secure handling of all client data and CRM integrations
  • GDPR and PECR compliant campaign execution
  • Weekly reporting on campaign performance
  • Response to client inquiries within 24 hours during business days
  • Transparent pricing with no hidden fees

Client Responsibilities:

  • Provide accurate information during onboarding
  • Ensure CRM data quality and legal compliance
  • Review and approve campaign themes before launch
  • Maintain valid payment methods for agreed fees
  • Respond to urgent compliance or technical issues promptly

4. Pricing and Payment Terms

Pricing is determined based on the model agreed upon during consultation:

  • Per-Lead Fee: Payment due monthly for qualified leads generated
  • Revenue Share: Percentage of incremental revenue tracked and invoiced monthly
  • Hybrid Model: Monthly retainer plus reduced commission rates

Invoices are issued monthly and payment is due within 14 days. Late payments may result in service suspension after 30 days past due.

5. Data Protection and Privacy

We are committed to protecting your data in accordance with GDPR and PECR:

  • All client data is processed under strict confidentiality
  • CRM integrations use secure, encrypted connections
  • Campaign recipients can unsubscribe at any time
  • Data retention policies comply with legal requirements
  • Regular security audits and compliance reviews

6. Intellectual Property

Client retains ownership of their CRM data and contact information. GrowthCo retains rights to our AI technology, campaign frameworks, and methodologies. Campaign content created for clients may be used as anonymized case studies with prior consent.

7. Performance and Results

While we aim to maximize results, we cannot guarantee specific outcomes due to variables outside our control including:

  • Market conditions and economic factors
  • Contact data quality and deliverability
  • Industry-specific response rates
  • Client's ability to follow up on generated leads

Performance metrics are tracked transparently and reported regularly. Campaigns are optimized based on results and industry best practices.

8. Compliance and Legal Requirements

All services are delivered in compliance with:

  • UK General Data Protection Regulation (UK GDPR)
  • Privacy and Electronic Communications Regulations (PECR)
  • CAN-SPAM Act (for international contacts)
  • Industry-specific regulations as applicable

Clients are responsible for ensuring their contact data was collected lawfully and that they have appropriate legal basis for email marketing.

9. Service Termination

Client-Initiated Termination:

  • 30 days written notice required
  • Final invoice issued for services rendered
  • CRM integrations disconnected securely
  • Client data returned or securely deleted per preferences

GrowthCo-Initiated Termination:

  • May terminate for breach of terms or non-payment
  • 30 days notice provided unless immediate termination required
  • Outstanding fees remain due

10. Limitation of Liability

GrowthCo's liability is limited to the fees paid in the 12 months preceding any claim. We are not liable for indirect, consequential, or punitive damages including lost profits or business interruption.

11. Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control including natural disasters, government actions, cyberattacks, or third-party service outages.

12. Governing Law and Disputes

These terms are governed by English law. Disputes will be resolved through good faith negotiation first, followed by mediation if necessary. Legal proceedings must be brought in English courts.

13. Changes to Terms

We reserve the right to modify these terms with 30 days notice to existing clients. Continued use of services constitutes acceptance of updated terms.

14. Severability

If any provision of these terms is found unenforceable, the remainder of the agreement remains in full effect.
